So it was just announced that elon musk is getting a seat on the twitter board of directors. This is very interesting because you would assume that the current management of twitter board of directors included is not happy about elon joining the company and becoming a shareholder. Obviously they have an adversarial relationship. You have a guy, that's coming over there to shake things up and basically fire most, if not all of them.
Why would they let him in and give him a seat at the board and give him a vote? Well, it's very interesting because i think they're trying to kind of live through this whole situation and lean into it. You know when somebody makes a bad joke about you when you lean into the meme lean into the joke, it actually takes the sting out of it. So i think what they're trying to do here is basically get ellen on board and lean into this whole elon taking over twitter. Now, there's also legal things here.
You have to understand if you go and you read through the actual announcement you're going to find out. It has a very interesting term now, basically, according to the deal they struck with elon is he gets a seat at the board which they didn't have to give to him. I mean he could have fought and got it eventually if you really wanted one with him being the biggest shareholder of the company but they're volunteering to give him that so the deal is they'll, give me a seat at the board and as long as he is Part of the board of directors, he is not allowed to go above 15 of the shares of twitter. Basically, he can't physically take over the company as long as he has a seat at the board and for three months after he leaves the board of directors.
So for his tenure as a board of directors, member and for three months thereafter, he will not be allowed to go above 15, which is kind of the deal that you want to have. If you don't want him taking over, you know he has the money. He has the resources, he has the brain power. He can really kick ass.
So basically, that's how you bring him in and you say, hey, join us, but don't beat us.

with that large of ownership position it is almost required to give him a seat….it is really not a big deal. However, as a board member, he now has better access to encourage "free speech" decisions within the company. Also, if any other board members side with Elon on that, it can then change it to a mandate.

LOL! So they know Elon is not joking around and the optics around their behavior is so bad that him coming in only puts more pressure to do something. They are leaning in as you say, but they are also trying to muzzle a tiger. Good luck with that. Elon isn't in this to make money, he isn't there to gain control (he could have just bought half the company) what he has done is shine a light on the darkness going on in Twitter and he will be VOCAL about what he sees as things need to change. If he is on the inside (that is the danger for Twitter) as well as one of the biggest most influential users to make something happen to improve the platform it will be a win. Things have to change, but if he can't marshal support from the inside, well that is when things will heat up.
if enough people and board members at twitter realize that their goal should change from making money to doing good in the world, then they will make money AND be good for the world. The world will poop their pants if Twitter changes to Elon's suggestions. Who knows…. maybe!
Couldn't he just get the shares by way of a friendly legal entity, such as a company or partner? Seems like a weak protection.
